Agreement

These terms are an agreement between you and Centurion Corporate Services Incorporated (“CCS”, “we”, “us”). They apply when you buy a service, appoint us as registered agent, use the client portal, or book a notarial act. If you act for an entity, you confirm you are authorised to bind it, and “you” means the entity as well. Our privacy policy and refund policy form part of these terms.

We are not a law firm

We prepare and submit documents at your direction, keep your corporate record, act as registered agent and perform notarial acts. We do not give legal, tax or accounting advice, and nothing we say is a substitute for it. Choices such as entity type, where to form, and what a document should say are yours; we will tell you when you should speak to a lawyer or accountant.

Registered agent service

  • In Texas, CCS is your registered agent. We maintain a registered office at a physical street address with someone present to accept delivery during ordinary business hours on business days.
  • Outside Texas, a partner registered agent with a physical office in that state acts as agent of record, and we manage that relationship for you. We confirm the arrangement for your state before anything is filed, and the plan price per jurisdiction is the same.
  • When service of process or an official notice is delivered for your entity, we record when it was received, scan it, place it in your portal and notify your designated contacts, the same business day wherever practicable.
  • We are your agent for legal process and official notices. We are not a general mail-handling service, and we do not respond to a lawsuit or any other document on your behalf. Deadlines that run from service on us run from the moment we accept it.

Filings and compliance

  • We prepare filings from the information you give us and the public record, and we submit them only after you approve them. You are responsible for checking what you approve.
  • Government fees are passed through at cost, shown to you before submission, and charged separately from our fee. Processing times are set by the filing office, not by us.
  • Late penalty guarantee (Agent+ and Corporate). If a filing that your plan includes is submitted late because of our error — after you gave us accurate information and approved it in time — we will reimburse the state’s late penalty for that filing.

Notary services

  • Notarial acts are performed by a notary public commissioned in Texas, who must be physically in Texas at the time of the act. Notarial fees never exceed the maximum set by Texas law: for an acknowledgment, $10 for the first signature and $1 for each additional signature; $10 for an oath, affirmation or jurat; and $25 for a remote online notarization.
  • A notary verifies identity and witnesses signatures; the notary does not review a document for legal effect. The notary must refuse or stop an act if identity cannot be established, if the signer appears not to understand or not to be signing voluntarily, or if the law otherwise requires it.
  • For remote online notarization, you must complete identity proofing and credential analysis and agree to the session being recorded. If identity cannot be established after the permitted attempts, there is no charge for that session.
  • Mobile visits. When we travel to you, a travel and service charge applies as published on our notary page and agreed with you in writing before we travel. It is not a notarial fee and is listed separately on your receipt. If the act cannot go ahead on arrival — for example no valid identification, the document is not ready, or the signer is unable or unwilling to sign — the travel charge remains payable but no notarial fee is charged. Cancellation less than two hours before the visit is charged at half the travel fee.
  • Apostille handling is a filing service billed separately from the notarization. Whether a receiving country or institution accepts a document is outside our control.

Your responsibilities

  • Give us accurate information and tell us promptly when it changes, especially your contact details.
  • Keep at least one contact who reads our notices; a document forwarded to an unread inbox has still been forwarded.
  • Pay invoices when due and keep a valid payment method on file for renewals.
  • Use our services only for lawful purposes, and keep your portal login secure.

Fees and renewal

  • Plans are priced per entity per jurisdiction and billed annually unless we agree otherwise in writing.
  • Plans renew automatically at the end of each term. We email you at least thirty days before renewal with the amount. You can turn off renewal at any time from your dashboard or by contacting us.
  • We will not raise a plan price in your first year, and we will give you at least sixty days’ written notice before a renewal at a higher price.
  • There is no setup fee and no fee for transferring your registered agent to us.
  • Refunds are governed by our refund policy.

Cancellation and resignation

  • If you cancel, service continues until the end of the paid term. You can export everything in your vault before and after. To end our appointment on the public record you, or a new agent, must file the change with the state.
  • If an invoice remains unpaid, or you breach these terms, we may resign as registered agent. We will notify you in advance and then file our resignation as the law requires. In Texas, a registered agent’s resignation takes effect on the 31st day after the Secretary of State receives it, and you must appoint a new agent before then.

Liability

We will perform our services with reasonable care and skill. We are not responsible for loss caused by inaccurate or late information from you, by a filing office, court, process server, partner agent’s own failure outside our control, postal or email service, or by events beyond our reasonable control.

To the extent the law allows, our total liability arising out of the services is limited to the fees you paid us for the affected service in the twelve months before the claim arose, and neither of us is liable to the other for indirect or consequential loss or lost profits. These limits do not apply to our gross negligence, wilful misconduct or fraud, or to anything the law does not allow to be limited.

You agree to indemnify us against claims brought by third parties that arise from information you gave us that was inaccurate, from your business activities, or from your breach of these terms — except to the extent the claim results from our own negligence or misconduct.

General

  • These terms are governed by the laws of the State of Texas. Courts in Harris County, Texas have jurisdiction over any dispute.
  • We may update these terms. We will post the new version here with a new effective date and, if the change is material, email clients at least thirty days before it applies to them.
  • If any part of these terms is unenforceable, the rest remains in effect.
  • These terms, together with any order or invoice, are the whole agreement between us about the services.
